- The system - KLOXA's software in all its components, including the code, interfaces, data structures, design, texts, templates and documentation.
- Business - a person or corporation that opened an account and uses the services to manage its activity.
- Business owner - the person who opened the business account or who is authorized to act on its behalf.
- User - any person who signs in to the system, including the business owner and anyone to whom they gave access (employee, manager, accountant and so on).
- Customer of a business - a person who received from a business a link, form, document or message through the services, or who gave the business details through them.
- Business data - the information that a business or users acting on its behalf enter, upload, receive or create in the system.
What KLOXA is
KLOXA is a system for managing businesses: customers, calendar, employees and attendance, documents and invoices, accounting, forms, and inventory, according to what was purchased. Through KLOXA, businesses also send their customers forms, documents, messages and links to the business page.
Who may use the services
- Opening a business account is permitted to anyone who is 18 years old and authorized to contract on behalf of the business. Anyone who opens an account on behalf of a corporation declares that they are authorized to bind it to these Terms.
- The service for businesses is intended for business activity, and is not intended for private consumer use.
- We may refuse to open an account or limit it, if we have a reasonable basis to fear prohibited use or inaccurate details.
- Anyone who develops, markets or operates a product or service that competes with KLOXA, and anyone acting on their behalf (including an employee, advisor or contractor), may not open an account or use the services without our prior written approval. If such use is discovered, we may close the account immediately.
For business owners and users of the system
- You must give correct, complete and up-to-date details. Using the details of another person or impersonation is prohibited.
- Sign-in details are personal. Do not give them to another person, and report to us immediately any suspicion of unauthorized use. Any action performed in the account using a user's sign-in details is regarded as that user's action, until they reported otherwise to us.
- The business owner is responsible for anyone to whom they grant access, for the scope of permissions they give and for every action of users acting on their behalf.
- The business owner is responsible for the lawfulness of the data they enter and send, for obtaining the required consents from those whose details are stored with them, and for complying with every law that applies to them - including privacy laws, labor laws, tax and accounting laws, the anti-spam law and the business's own accessibility obligations.
For anyone who received a link from a business
- The business that sent you the link is responsible for the content of the form, document or message, for what it asks of you and for what it does with the information you gave. KLOXA provides the business with the tool only, and is not a party to the engagement between you and the business.
- You must give correct details, and fill in a form only in your own name or in the name of someone who authorized you to do so.
- Signing a form or document is a signature toward the business that sent it, and its validity is determined between you and under the law.
- After submission the form is delivered to the business, and usually cannot be changed. To correct or cancel, contact the business.
- Payment, a refund, cancellation of a transaction or a complaint about a business's service - is handled with the business only.
- A link to a form or document is personal. Do not pass it on to others, because anyone who holds it can open it.
Your data
- Business data belongs to the business. We hold and process it solely on its behalf, under the Data Processing Agreement, and we do not acquire rights in it.
- The business grants us a limited license to store, back up, transmit, display and process the business data, only to the extent required to provide the services, to secure them, to support the business and to comply with the law.
- We may derive from use of the services aggregated statistical data that does not identify a business or a person, and use it to improve and operate the services.
- The business can export the business data at any stage, with the tools in the system. We recommend keeping an up-to-date copy of essential data.
- Suggestions, ideas and feedback that you give us about the services - we may use freely, with no obligation of payment or attribution.
Prohibited use
The services are intended for lawful activity only, under these Terms and the Fair Use Policy. Among other things, it is prohibited to:
- Use the services for unlawful activity, fraud, harassment, impersonation or harm to a third party.
- Send through the services any advertisement without lawful consent, or unsolicited messages in general.
- Attempt to hack, test for vulnerabilities, bypass security mechanisms, authentication, permissions or rate limits, introduce malicious code or overload the services.
- Run scripts, bots, crawlers, artificial intelligence agents or any other automated tool to collect, scrape, copy, systematically record or analyze the system, its interfaces, its features or the data in it, without our prior written approval.
- Use the system, the content in it or its outputs to train, fine-tune or feed artificial intelligence models.
- Use the services to develop, operate, imitate or promote a competing product or service, or to collect business information for such a purpose.
- Sell, lease, transfer or share access to the services with anyone who is not authorized on behalf of the business.
You may use artificial intelligence tools for day-to-day work in the account, as long as this does not involve any of the prohibited actions.
Reverse engineering
- It is prohibited to reverse engineer the system or any part of it: to disassemble, decompile, decipher, or analyze the code, the traffic, the interfaces or the data structures, or to attempt in any other way to discover its source code, algorithms, logic or internal structure.
- It is prohibited to modify, adapt, translate or create derivative works from the system, and it is prohibited to remove or conceal any marking of copyright, trade marks or proprietary notices.
- It is prohibited to build a product, service, plug-in or interface that imitates the system, its interfaces, its design, the order of its screens, its processes or its business logic.
- The prohibitions also apply to action taken indirectly, through another or through an automated tool, and also after use of the services has ended.
- This restriction applies to the maximum extent that the law permits. If the law permits a particular action for the purpose of interoperability between programs, you must contact us in writing before carrying it out, and we will provide the required information to the extent the law requires.
Confidentiality
- Non-public information disclosed to you in the course of using the services is confidential information and a trade secret of KLOXA. This includes: screens and processes, capabilities not yet published to the public, documentation, training materials, and prices and commercial terms given to you personally.
- You may not publish such information, disclose or transfer it to another, including through screenshots, recordings or a detailed description, and you may not use it other than to run your business. You may share it with the business's employees, accountant and advisors who need it for that purpose, provided that they are bound by confidentiality.
- Early access: anyone who uses the services before their public launch, or a capability marked as experimental, keeps its existence and the way it works confidential until we publish it ourselves.
- This obligation does not apply to information lawfully published to the public through no fault of yours, or to a disclosure required by law, provided that you notified us in advance to the extent the law permits.
- The information is also protected under the Commercial Torts Law, 5759-1999. The obligation applies during the engagement and after it ends.
Intellectual property and copyright
- All rights in the services and the system belong solely to KLOXA, including copyright, patents, trade marks, trade secrets, code, design, interfaces, texts, images, templates, data structures, order of screens and documentation. They are protected, among other things, under the Copyright Law, 5768-2007, the Trade Marks Ordinance [New Version], 5732-1972, and the Commercial Torts Law, 5759-1999.
- The name KLOXA, the logo and our trade marks may not be used without prior written approval.
- Subject to these Terms and to payment, the business is granted a limited, personal, non-exclusive, non-transferable and non-sublicensable, revocable license to use the services solely for managing its own business, for the term of the engagement. Every right not expressly granted is reserved to KLOXA. Nothing in these Terms transfers any right of ownership.
- You may not copy, duplicate, distribute, publish, display publicly, commercialize or make commercial use of the services or any part of them, without prior written approval. Documents, reports and exports that the business produces from its own data for its own needs - are permitted.
- A violation of this section, of the section "Reverse engineering", of the section "Confidentiality" or of the section "Prohibited use" causes KLOXA real damage. The violator will bear all damages and expenses caused to KLOXA, including legal expenses and attorney fees, as determined by the court, and KLOXA may seek an injunction, compensation without proof of damage to the extent the law allows, and any other remedy - in addition to its right to suspend or close the account immediately.
- Rights in the business data and in content that a business entered belong to the business, and nothing in this section detracts from them.
What the system is not
- The system does not provide professional advice. It aggregates data, calculates and alerts, but does not constitute legal, accounting, tax, medical or other advice, and should not be relied upon as a substitute for independent checking or for a professional.
- Documents, invoices and reports that the business produces or sends through the system are the business's and its responsibility - the accuracy of the details, amounts, VAT, allocation numbers, reporting to the authorities and retention of documents as required by law.
- The system does not produce payslips and does not calculate income tax, National Insurance or net salary. Payslips received or sent through it were produced by another party.
- Alerts and calculations are not a decision. An alert about seniority, an exception, a date or any other situation is a marker only, and responsibility to check and act according to the law remains with the business owner.
- KLOXA is not a party to transactions, payments or engagements between a business and its customers, its employees or its suppliers.
Availability, backup and changes
- We aim for high availability, but we do not promise continuous, fault-free or error-free service. There may be interruptions for maintenance, upgrade, security, or for reasons beyond our control, such as faults at infrastructure providers, telecommunications or third parties.
- The data is backed up daily and the recovery process is tested, but we do not promise that information will not be lost in any case.
- The system evolves. We may add, change or remove capabilities. A material change that harms an existing capability in a paid service will be notified in advance as far as possible.
- A link to a form or document may stop working if the business closed it or if it expired.
Billing and cancellation
- The scope of the service and the full billing details are shown before final approval.
- Prices do not include VAT unless stated otherwise.
- Renewal, changes to the scope of the service, cancellation and refunds - under the Cancellation and Billing Policy.
External services and providers
- Some capabilities rely on third-party services - for example infrastructure and storage providers, payment clearing providers, email, SMS and WhatsApp providers, and Meta, Google and Microsoft in connections that a business chose to enable. Their use is also subject to their terms.
- Mailbox connection (Gmail or Microsoft): the connection is made with read-only access, and KLOXA uses it only to locate and import supplier invoices and receipts. Only the owner of the mailbox, or a person authorized to connect it, may make the connection. It can be disconnected at any time, from within the system or in the Google or Microsoft account settings.
- Invoice intake on WhatsApp: KLOXA's WhatsApp number for invoice intake is an automated bot that accepts only documents and images from a phone that the business linked. The business is responsible for ensuring that only authorized persons send documents on its behalf, and for cancelling the link of a phone that no longer needs access.
- Details of the information received through these connections and how it is used are in the Privacy Policy.
- We are not responsible for the availability, content or operation of third-party services, or for changes they make to their interfaces or terms.
- Weather data displayed in the system is provided by the Norwegian Meteorological Institute (MET Norway), under the license CC BY 4.0.
Connecting to Facebook and Instagram
- A business can connect a Facebook page in order to receive in KLOXA inquiries from ad forms on Facebook and Instagram. The connection may be made only by someone who is authorized to manage the page and its ads.
- The business is responsible for complying with Meta's terms, including the terms of ad forms (Lead Ads), and for showing inquirers, in the ad form, its privacy policy.
- KLOXA uses access to the page only to retrieve the inquiries and to check that the connection is working. It does not publish on behalf of the page, does not change the ads and does not use the information for any other purpose.
- The connection can be disconnected at any time, from within the system or by removing the app in Facebook settings. After disconnection no new inquiries are received, and inquiries already received remain with the business.
- The connection also depends on the availability of Meta services. If the permission was revoked or access expired, the system alerts the business owner so that they can reconnect the page.
- Facebook and Instagram are trade marks of Meta, and KLOXA is an independent service that does not act on its behalf.
Limitation of liability
- The services are provided "AS IS" and "as available". To the maximum extent that the law permits, we make no representation or warranty, express or implied, regarding the suitability of the services for a particular purpose, their accuracy, their continuity or the absence of errors in them.
- KLOXA is not responsible for content that a business entered, published or sent, for service that a business provides to its customers, for decisions that a business makes based on the system, or for damage caused by use that is not in accordance with these Terms.
- To the maximum extent that the law permits, we will not be liable for indirect, consequential, special or punitive damage, for loss of profits, revenue, goodwill or business opportunities, or for loss of data, even if we were advised in advance of the possibility of such damage.
- To the maximum extent that the law permits, our total liability on any cause of action will not exceed the amount that the business actually paid for the services in the twelve months preceding the event giving rise to the claimed liability. Toward anyone who did not pay us, liability is limited to the maximum extent that the law permits.
- These limitations do not detract from liability that cannot be limited under the law.
Indemnification
The business and the user will indemnify KLOXA, its employees, its managers and anyone acting on its behalf, upon first demand, for any claim, demand, damage, loss, fine or expense (including attorney fees) caused by a breach of these Terms, a violation of law, data or content that the business entered or sent, or a claim by a customer, employee or third party of the business. We will notify of such a claim and allow defense against it.
Suspension and ending use
- We may limit, suspend or close an account, including immediately and without prior notice, in the event of a material breach of these Terms, non-payment, suspected unlawful activity, a risk to the security of the services or to other users, or a demand by a competent authority.
- In such a case, the business will be given, as far as possible and subject to the law, the opportunity to export the business data.
- Sections that by their nature are intended to apply also after the end of the engagement - including intellectual property, reverse engineering, confidentiality, limitation of liability, indemnification and jurisdiction - will continue to apply.
Changes to the Terms
- These Terms may be updated from time to time. The binding text is the text published on this page, with the version number and update date at its bottom.
- A material change will be brought to the attention of business owners in advance, by a notice in the system or by email, at least 14 days before it takes effect, unless the change is required by law or for security reasons. Continued use after the change takes effect constitutes agreement to it.
- We may ask you to re-approve an updated version before you continue using the services.
General
- We may assign our rights and obligations under these Terms to another entity, provided that the business's rights in its data are not harmed. The business may not assign its rights without our written consent.
- We will not be liable for delay or non-performance caused by circumstances beyond our reasonable control, such as war, hostilities, natural disaster, epidemic, strike, a general network failure or failure at an infrastructure provider, or a cyber attack.
- Notices to us are sent to the address in the section "Contact us". Notices from us may be sent within the system, by email or by a message to the phone number given to us, and will be regarded as delivered at the time they were sent.
- A waiver, a failure to act or the granting of an extension in one case is not a waiver of a right.
- If a provision of these Terms is held to be invalid, it will be interpreted to the closest extent to its intent, and the other terms will continue to apply.
- With regard to the processing of personal information on behalf of a business, the Data Processing Agreement prevails. In the event of a conflict between the Hebrew version and a version in another language, the Hebrew version prevails.
- These Terms, together with the documents included in them, are the entire agreement between us on the matters they address.
Governing law and jurisdiction
These Terms and any use of the services are governed solely by the laws of the State of Israel. The exclusive and sole jurisdiction in any matter arising from them is vested in the competent courts in the Tel Aviv-Jaffa District.
